Terms of Use of Snipd

Introduction

These Terms of Service constitute a legally binding agreement between Snipd AG, Switzerland ("Snipd") and each registered or unregistered user.

To be able to use the service of Snipd you must be at least eighteen (18) years old (or any greater age required to be deemed to have reached the age of majority under the applicable law of the state or jurisdiction of your residence).

Acceptance of these Terms

These terms of service and all other terms and conditions constitute a legally binding agreement between Snipd and each registered or unregistered user of the mobile applications, websites, web tools and other services provided by Snipd (together, the "Service"). By accessing and using the Service and/or creating a user profile account for the Service, you are deemed to have read, accepted, executed and be bound by these Terms of Service.

Changes to these Terms

Snipd may, from time to time change or amend these Terms of Service. Snipd will inform you in an appropriate way prior to the effective date (e.g. by e-mail or pop-up-message). Notwithstanding the terms of this paragraph, no revisions to the Terms of Service will apply to any dispute between you and Company that arose prior to the effective date of such revision. By continuing to use Snipd after such change, you accept the new Terms of Service.

The Snipd Service

Snipd Basics

Snipd is an AI based application to highlight, discover and share moments in spoken audio such as podcasts. You may be required to create a password-protected account to use portions of the Service. You represent and warrant that all information you provide to us is truthful and accurate and you will keep it up to date. You can update certain of your information at any time by emailing us at (legal@snipd.com).

You are solely responsible for all activity that occurs (including any charges incurred) on your account, and we may assume that any activity under your account was made by you.

Free Service

A certain number of features and functionalities are made available to you at no cost ("Free Service"). The features and functionalities of the Free Service are described in the relevant Service interface. We reserve the right to change or discontinue features and functionalities of the Free Service or move them to our Premium Service at our free discretion.

Premium Service

In addition to the Free Service we provide additional features and functionalities on a monthly or yearly subscription basis ("Premium Service"). The features and functionalities of the Premium Service are described in the App. You have the option of testing the Premium Service for free for the duration described in the App ("Free Trial"),

You may purchase a Premium Service subscription directly from Snipd in our App, or through a third party, such as the Apple App Store or Google Play Store. When you purchase a subscription through a third party, your purchase is also subject to the terms and conditions of that third party.

When you purchase a subscription directly from Snipd, we will ask you to provide a payment method. By signing up for the Premium Service, you authorize us or the applicable third party to automatically charge your payment method on a yearly or monthly basis, depending on the type of your subscription you chose. Charges will be made for the then applicable subscription charge, plus any applicable taxes and fees.

Your Free Trial will automatically extend to a Premium Service subscription, unless you cancel at least 24h before your Free Trial ends. Your subscription will automatically renew at the end of the applicable subscription period, unless you cancel at least 24h before the current subscription period ends. The extension period will be for the same duration as the former subscription period, i.e. one month or one year. You can cancel the subscription by following the cancellation flow within the app or if you purchase your subscription through a third party, such as the Apple App Store, Apple Podcasts, Google Play Store by the cancellation feature of such third party.

AI generated content

Snipd uses artificial intelligence to produce content in the Service, including chat answers, episode summaries, notes, extracted quotes, chapters and other generated content.

AI generated content is provided for informational purposes only, regardless of the topic. It may be inaccurate, incomplete or incorrectly attributed, and may not faithfully reflect the original source. Even content presented as a quotation may contain transcription or attribution errors. Please verify information and quotations against the original source before relying on them.

AI generated content does not constitute medical, legal, financial or other professional advice and should not replace advice from an appropriately qualified professional.

Restrictions of Use

When applying the Service to highlight chosen content (“to snip”), you can either choose a title out of the suggested titles created by the App or create your own title for your snip. The title is public and can be seen by other users. You may not use this feature for any illegal purpose or to violate any laws in your jurisdiction (including but not limited to copyright laws).

To each snip you can add your private notes which are not public and can only be seen by you.

Third Party Sites

The Service may contain information and content provided by third parties (e.g. when listening to a podcast), and links to and integrations with third party websites, applications, services, content, feeds and other resources that are not owned or controlled by Snipd (collectively, “Third Party Sites”). Snipd is not responsible for the availability of such Third Party Sites and does not endorse and is not responsible or liable for such Third Party Sites. If you access Third Party Sites from the Service, you do so at your own risk. These Terms and Snipd's Privacy Policy do not apply to those third parties' services; their own terms and policies may apply. These Terms and Snipd's Privacy Policy continue to apply to the Snipd-provided parts of the Service, including when delivered through a partner's website.

Termination

These Terms of Use will continue until terminated by either one of us.

We may pause, suspend or terminate your access to or use of the Free Service, or any part thereof, or close your account, at any time in our sole discretion without notice to you, including without limitation if we determine you have violated these Terms of Use.

We may pause, suspend or terminate your access to or use of the Premium Service, or any part thereof, or close your account, at any time if you fail to pay the charges in a timely manner or if you have otherwise violated these Terms of Use.

Disclaimers

Snipd does not assume any liability for direct or indirect damages caused by the use of Snipd or in connection with the Service, to the maximum extent permitted by the applicable law.

In case of violation of these Terms of Use as well as in case of infringement of rights and corresponding claims of third parties, you expressly release Snipd from any liability and will fully indemnify Snipd for damages and costs incurred.

Governing Law and jurisdiction

Any disputes concerning these Terms of Use, the App and our Service (whether contractual or otherwise) shall be governed by substantive Swiss Law and shall be subject to the jurisdiction of the courts of Switzerland at the registered seat of Snipd.
